Rochester Film Salon Constitution
1. Name
The society shall be known as The Rochester Film Salon, referred to herein also as "the Salon".
2. Definitions
Salon Year: from 1 September to 31 August of the following year.
Member: a person who has been accepted into the Salon by the Committee.
Committee: the set of Members elected by the Members to run the Salon on behalf of the Members.
3. Objects
The Objects of the Salon are to advance the knowledge, understanding and enjoyment of the public in the art of moving film of all ages and genres.
The Salon shall have the power to promote the study and appreciation of film by means of film shows, lectures, discussions, exhibitions and other events, and to do all things necessary or expedient to achieve the same.
4. Membership
Any person of age 15 years or over may apply for membership of the Salon and will become a member on (i) payment of the current subscription fee and (ii) the Committee's acceptance of the application.
The Committee can exercise discretion in individual cases on the membership age limit and on the subscription fee to be paid.
The Committee has the discretion to offer one or more Honorary memberships for which no subscription is required.
The Committee has the power at its absolute discretion to reject an application for membership without giving reasons. The Committee also has the power at its absolute discretion to revoke an existing membership without giving reasons and without refund of any subscription.
5. Events
Any Member of The Salon may apply to attend any Salon event. Ultimate discretion on admission to any such event remains with the Committee as represented by any one Committee Member.
Any Member may purchase up to 2 tickets for the admission of guests to a Salon event subject always to the discretion of the Committee and to availability of tickets, precedence being given to Members. Only Members may buy tickets for guests.
Only Members and their guests shall be admitted to the Salon's events.
6. Management
a)The Salon may choose to elect a Committee to run it's affairs and manage its business. Until a Committe is elected, the Salon will be run by the members and decisions taken by a simple majority vote.
b)If the Members choose to elect a Committe, thereafter the Salon will be run by the Committe.
c)The Committe will consist of the Officers (see sub-clause j) and between 3 and 10 current members to be elected by a majority of the current members present at an AGM or Special Meeting.
d)The Committee shall meet at least 4 times in the Salon Year.
e)The quorum for Committee Meetings shall be 3, but if the number of Committee members falls below this number the remaining Committee Member(s) may validly convene to organize elections or to co-opt Committee Members in accordance with sub-clause (j) hereof.
f)The Salon shall hold an Annual General Meeting (AGM) within 4 months of the end of a Salon Year for the purposes of approving the Society's accounts and of electing or re-electing Committee Members.
g)A Special Meeting may be called at any time by the Committee or upon written request being made to the Committee signed by at least 15 Members.
h)The quorum for the AGM and Special Meetings shall be the lower of either 20 Members or
60 percent of the current members.
i)Committee Members shall be elected at the Salon's AGM or at a Special Meeting called for that purpose.
j)The Committee may at any time co-opt additional Committee members for the remainder of the current Salon Year.Honorary Members are not entitled to be Committee Members or to vote on motions proposed at a Salon AGM or Special Meeting.
k)The Salon will have the following Officers: President, Secretary, Treasurer and Legal Officer.
l)The Members may decide at an AGM or Special Meeting to create further positions as the case may be.
m)The Officers will be elected each year at the AGM and remain in office for the period of the
Salon year.
n)The only requirement for election as an officer or member of the committe is to be a current Member of the Salon.
7. Restrictions
The Salon shall be non-political in that it shall not espouse the cause of any political party. The Salon may however, organise events in conjunction with policitical organisations (a co-sponsor), but the role of the co-sponsor must be made clear to the membership, and the membership may if they wish to cancel the event by a majority vote of an ordinary resolution at a General Meeting.
The Salon's funds shall be used only in the furtherance of the Salon's Objects. Any balance of funds at the end of a Salon Year shall be carried over to the next Salon Year.
The Salon shall not be run for the private profit of any Member or Members.
No Member or Committee Member shall receive payment directly or indirectly for their services or for anything other than legitimate expenses incurred in running the Salon.
If any clause or sub-clause of this Constitution conflicts with the legal rights of the owner of the location at which a Salon event is to be held, the owner's legal rights shall take precedence.
8. Dissolution
The Salon shall not be wound up except by a resolution of two-thirds of those present at a Special Meeting called for that purpose.
In the event of such winding up any remaining funds of The Society shall be distributed among current Members in proportion to their total subscriptions paid since the start of their current continuous period of membership.
9. Amendment
No amendment of this Constitution shall be made except to comply with current law or at an AGM or Special Meeting where such amendment is passed having gained the votes of 30 Members or two-thirds of the Members present, whichever is the greater.
